1. Introduction and Acceptance
These Terms and Conditions (“Terms”) constitute a legally binding agreement between you (“User”, “you”, or “your”) and Monolog Technologies Ltd (“Company”, “we”, “us”, or “our”) governing your access to and use of the Monolog platform, including all associated services, features, content, and applications (collectively, the “Service”).
By creating an account, accessing, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after such notification constitutes acceptance of the modified Terms.
2. Service Description
Monolog is a compliance, accounting, and governance platform designed for businesses. The Service includes:
- Accounting and invoicing tools with double-entry bookkeeping
- VAT returns and tax compliance management
- Transfer pricing assessments and documentation
- Corporate records management (directors, shareholders, UBOs)
- Compliance calendar and deadline tracking
- Document storage and management
- Banking integrations via PSD2-AISP connections
The Service is provided as a software-as-a-service (SaaS) platform. We continuously improve and update the Service, which may include adding or removing features.
3. Eligibility and Registration
3.1 Eligibility
To use the Service, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into binding contracts
- Not be prohibited from using the Service under applicable laws
- If registering on behalf of an organisation, have authority to bind that organisation
3.2 Account Registration
You must provide accurate, current, and complete information during registration. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must notify us immediately of any unauthorised use.
4. Subscription and Payments
4.1 Subscription Plans
Access to certain features requires a paid subscription. Subscription plans, pricing, and features are described on our website and may be modified from time to time with reasonable notice.
4.2 Billing
Subscriptions are billed in advance on a monthly or annual basis, depending on your selected plan. Payment is processed through Stripe. By subscribing, you authorise us to charge your payment method for recurring fees until you cancel.
4.3 Automatic Renewal
Subscriptions automatically renew at the end of each billing period unless cancelled before the renewal date. You may cancel your subscription at any time through your account settings.
4.4 Refunds
Subscription fees are non-refundable except as required by law. If you cancel your subscription, you will retain access to paid features until the end of your current billing period.
4.5 Price Changes
We may change subscription prices with 30 days’ notice. Price changes will take effect at the start of your next billing period after the notice.
5. User Obligations and Acceptable Use
5.1 Your Responsibilities
You agree to:
- Provide accurate and truthful information
- Maintain the security of your account credentials
- Comply with all applicable laws and regulations
- Use the Service only for lawful business purposes
- Ensure data you enter does not infringe third-party rights
5.2 Prohibited Conduct
You must not:
- Use the Service for any illegal purpose or to facilitate illegal activities
- Attempt to gain unauthorised access to the Service or its systems
- Interfere with or disrupt the Service or servers

You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.
6.2 Your Content
You retain ownership of all data, documents, and content you upload to the Service (“Your Content”). By uploading Your Content, you grant us a limited licence to host, store, process, and display Your Content solely for the purpose of providing the Service to you.
6.3 Feedback
If you provide feedback, suggestions, or ideas about the Service, we may use them without obligation to you.
7. Data Protection and Privacy
Your privacy is important to us. Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.
You acknowledge that you are responsible for ensuring that your use of the Service complies with applicable data protection laws, including GDPR, where you process personal data of third parties (such as directors, shareholders, or employees).
8. Third-Party Integrations
The Service may integrate with third-party services, including banking providers (via PSD2), payment processors (Stripe), and other platforms. Your use of third-party services is subject to their respective terms and privacy policies.
We are not responsible for the availability, accuracy, or content of third-party services, or for any loss or damage arising from your use of such services.
9. Service Availability and Support
9.1 Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

10. Disclaimer of Warranties
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We do not warrant the accuracy, completeness, or reliability of any content or information obtained through the Service.
Important: The Service provides tools for compliance and accounting management but does not constitute legal, tax, or financial advice. You should consult qualified professionals for advice specific to your situation.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MONOLOG TECHNOLOGIES LTD AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
- Any indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Any damages arising from your use or inability to use the Service
- Any unauthorised access to or alteration of your data
- Any errors, omissions, or inaccuracies in the Service
Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the total amount you paid to us in the twelve (12) months preceding the claim.
12. Indemnification
You agree to indemnify, defend, and hold harmless Monolog Technologies Ltd and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any applicable laws or regulations
- Your Content or data you submit to the Service
- Your infringement of any third-party rights
13. Termination
13.1 Termination by You
You may terminate your account at any time through your account settings or by contacting us. Upon termination, you will lose access to the Service and Your Content. You may request an export of your data before termination.
13.2 Termination by Us
We may suspend or terminate your account immediately if you:
- Breach these Terms
- Fail to pay subscription fees
- Engage in fraudulent or illegal activity
- Cause harm to other users or the Service
We may also terminate or suspend the Service entirely with reasonable notice.
13.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We may delete Your Content after a reasonable period (typically 30 days) unless retention is required by law. Sections of these Terms that by their nature should survive termination will survive.
14. Dispute Resolution
14.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the Republic of Cyprus, without regard to its conflict of law principles.
14.2 Jurisdiction
Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Limassol, Cyprus.
14.3 Informal Resolution
Before initiating formal proceedings, you agree to contact us and attempt to resolve any dispute informally. We will endeavour to resolve disputes within 30 days.
15. General Provisions
15.1 Entire Agreement
These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and us regarding the Service.
15.2 Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
15.3 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
15.4 Assignment
You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
15.5 Force Majeure
We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or government actions.
